Terms & Conditions for Sandler Summit

IMPORTANT NOTICE
BEFORE REGISTERING FOR THE UNIQUE PROFESSIONAL DEVELOPMENT EXPERIENCE OUTLINED BELOW (REFERRED TO HEREIN AS, THE "UNIQUE EXPERIENCE"), PLEASE REVIEW THE TERMS AND CONDITIONS OUTLINED BELOW. WHEN YOU REGISTER FOR THE UNIQUE EXPERIENCE FROM SALES4 TRAINING AND CONSULTING INC. ("SANDLER IN CALGARY"), YOU EXPRESSLY ACCEPT THESE TERMS AND CONDITIONS, WITHOUT MODIFICATION, AND BECOME BE LEGALLY BOUND BY THEM. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. IF YOU DO NOT WISH TO ACCEPT ALL OF THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER FOR THE UNIQUE EXPERIENCE.

PRICING AND PAYMENT
To register for the Unique Experience, you must register on or before January 5, 2019 and payment in the amount of $3,899 plus GST (the "Payment") must be received in full on or before January 10, 2019 in the manner described herein. Sandler in Calgary reserves the right to cancel your registration if full payment is not received by the due date. Unless you are notified by Sandler in Calgary in writing that your registration has been cancelled due to insufficient payment, your registration remains confirmed and full payment of the Payment remains due and payable on or before January 10, 2019 or such other date agreed upon in writing by you and Sandler in Calgary.
Sandler in Calgary accepts MasterCard, Visa and American Express credit cards, electronic transfer of funds or cheque as forms of payment. If you are paying by credit card, authorizing Sandler in Calgary to use your credit card indicates your acceptance of these Terms and Conditions, whether or not you have actually signed credit card forms. If you are paying by electronic transfer of funds or cheque, delivery of the first installment of the Payment indicates your acceptance of these Terms and Conditions.

CANCELLATION POLICY
When Cancellation is Made Cancellation Fees
• Greater than 60 days before departure $150.00 plus GST
• 30 – 60 days before departure 50% of the Payment plus GST
• 15 – 29 days before departure 75% of the Payment plus GST
• 14 days or less before departure 100% of Payment plus GST
Cancellation fees are liquidated damages to compensate Sandler in Calgary for, inter alia, prepayments made on advance booking of travel services, and for administrative costs involved.
UNIQUE EXPERIENCE INCLUDES
Unless otherwise agreed upon in writing by Sandler in Calgary, the Unique Experience exclusively includes:
(i) round-trip economy airfare from Calgary, Alberta to Orlando, Florida departing Calgary, Alberta on March 19, 2019 (or, upon request, March 14, 2018) and returning from Orlando, Florida on March 23, 2019;
(ii) hotel accommodations at the Rosen Centre Hotel in Orlando Florida or, if rooms are not available at the Rosen Centre Hotel at the time of the Flight Centre making the reservation, at a reasonably comparable hotel located as close in distance to the Rosen Centre Hotel as possible, with checking-in on March 19, 2019 (or, upon request,*) and checking-out on March 23, 2019;
(iii) access to a link that you must use to register for 2018 Sandler Client Summit to be held on March 21 to 22, 2019 at the Rosen Centre Hotel in Orlando Florida (the "2019 Sandler Summit"), which registration must be completed March 1st, 2019;
(iv) payment of the registration fee for the 2019 Sander Summit;
(v) breakfast and lunch on March 21 and 22, 2019, as selected by the organizers of the 2019 Sandler Summit; and
(vi) dinner on March 20, 21 and 22, 2019, as selected by the organizers of the 2018 Sandler Summit, which includes the opportunity to network with other Sandler trainers and their clients. (collectively, the "UNIQUE EXPERIENCE").
*In the event that you elect to depart on March 20, 2019 instead of March 19, 2019, Sandler in Calgary will return to you an amount equal to the value of one night at the hotel, as determined by Sandler in Calgary based upon advice from Flight Centre, from the Payment you made to Sandler in Calgary, provided that the airfare on March 20, 2019 does not exceed the airfare on March 19, 2019.
While effort has been undertaken to ensure accuracy of the description of the Unique Experience provided to you by Sandler in Calgary there is no guarantee that everything about the Unique Experience will be exactly as depicted.

UNIQUE EXPERIENCE DOES NOT INCLUDE
All costs for entry visas, passports, health certificates, items of a personal nature and all services purchased during or in connection with the Unique Experience that are not listed above as being included in the Unique Experience (e.g., laundry, meals (other than those set forth above), alcoholic beverages, telephone calls, tips, extra baggage charges, transfer to and from the airport and hotel, local excursions, car rentals, insurance, extended stays, hotel upgrades, airfare upgrades or seat selection, etc.) are not included in the price of the Unique Experience.

INSURANCE
Sandler in Calgary strongly recommends the purchase of sufficient traveler's insurance to provide you with security and protection against unexpected events. Sandler in Calgary is not responsible for providing you with such insurance.

TRAVEL DOCUMENTS
It is your responsibility to obtain and have in your possession all documentation required by the applicable governmental authorities for your travel to your destination and for your return to Canada (e.g., visas, passports, etc.). Sandler in Calgary will assume no responsibility whatsoever for being denied carriage by the airline or refused entry into any country. Canadian citizens can contact Foreign Affairs Canada at www.travel.gc.ca for assistance in obtaining this information. Non-Canadian Citizens can contact the relevant tourist boards, consulate or embassies prior to registering for the Unique Experience for further assistance.

CUSTOMS & IMMIGRATION
Customs and/or immigration officials can deny a person, or persons, whether they are residents or visitors, entry (or re-entry) into their country at their own discretion. A previous criminal record could be an obstacle in international travel. Sandler in Calgary cannot be held responsible for denied entry (or re-entry) under any circumstances.

FLIGHTS
It is your responsibility to obtain all information applicable to your flights from Flight Centre and/or the specific airline on which you are travelling (including, without limitation, airport check-in times, airline check-in policies and procedures, departure times, changes to departure times or itineraries made by the airport, customs and immigration information, weight and size restrictions of your baggage, etc.) and to comply with all requirements relating thereto. Sandler in Calgary is not responsible for any act or omissions of the airline on which you are travelling or any assurances, representations or guarantees of such airline relating to the services it provides.

HOTELS
It is your responsibility to obtain all information applicable to your hotel accommodations from Flight Centre and/or the specific hotel at which you are staying (including, without limitation, check-in and check-out times, baggage storage services, check-in procedures, etc.) and to comply with all requirements relating thereto. Sandler in Calgary is not responsible for any act or omission of the hotel at which you are staying or any assurances, representations or guarantees of such hotel relating to the services it provides.

MEALS
It is your responsibility to supply Sandler in Calgary or the applicable Service Provider with information about any dietary allergies, restrictions or special considerations for the meals forming part of the Unique Experience.

SANDLER IN CALGARY'S AGENTS
On your behalf, Sandler in Calgary will arrange for certain agents to book certain services forming part of the Unique Experience. Without limiting the generality of the foregoing, Sandler in Calgary has arranged to have The Flights Shops, Inc. DBA Flight Centre ("Flight Centre") act as travel agent to book, on your behalf, the flights and hotels forming part of the Unique Experience. Accordingly, after you register for the Unique Experience, Flight Centre will contact you directly and, on your behalf, book the flights [, airport-hotel transfers] and hotel forming part of the Unique Experience. You will be bound by the terms and condition of each such agent including, without limitation, Flight Centre. Please read the terms and conditions of each such agent carefully as they affect your legal rights.

THIRD PARTY SERVICE PROVIDERS
Many, if not all, of the services that make up your booking are provided by third-party suppliers ("Service Providers"). On your behalf, Sandler in Calgary or its agents will make certain arrangements with Service Providers who provide services such as flights, hotels, airport-hotel transfers, meals or other activities forming part of your booking including, without limitation, attendance at the 2018 Sandler Summit. You will be bound by the terms and conditions of the Service Providers and, if for any reason, any Service Provider is unable to provide the services for which you have contracted, your remedy lies against the Service Provider. Please read the terms and conditions of each Service Provider carefully as they affect your legal rights.

LIABILITY OF SANDLER IN CALGARY
Sandler in Calgary shall not be responsible for any claims, losses, damages, liabilities, costs or expenses whatsoever that you may incur arising from or relating to: (i) any acts or omissions of any of the Service Providers or their respective employees, representatives or agents; (ii) any acts or omissions of any agents of Sandler in Calgary (including, without limitation, Flight Centre) or any of the Services Providers used by such agents or their respective employees, representatives or agents; (iii) any acts or omissions of any parties other than Sandler in Calgary and its employees; (iv) your failure to obtain and have in your possession all documentation required by the applicable governmental authorities for your travel to your destination and for your return to Canada; (v) your failure to comply with airport check-in times and/or airline check-in policies; (vi) changes to flight times or itineraries made by the airport; (vii) a missed flight or connecting flight for any reason whatsoever; (viii) lost, delayed or damaged luggage; (ix) your failure to comply with baggage weight and size restrictions applicable to your flights; (x) your failure to comply with any of the hotel's policies or requirements including, without limitation, a failure to check-in or check-out in accordance with the hotel's policy; or (xi) the cancellation or change to any or all of the services forming part of the Unique Experience.
Sandler in Calgary reserves the right to cancel the Unique Experience or substitute services forming part of the Unique Experience with a comparable alternatives, as determined by Sandler in Calgary in its sole discretion, and Sandler in Calgary will advise you within a reasonable among of time prior to departure of any such cancellation or change. If Sandler in Calgary must cancel the Unique Experience entirely, Sandler's liabilities will be limited to a refund of all monies paid. A full refund will not be granted, however, where cancellation of the Unique Experience must be made by Sandler Canada due to, in whole or in part, any Act of God or other force majeure circumstance including, without limitation, fire, volcanic eruption, environmental pollution or contamination, inclement weather, earthquake, flood, water or power shortages or failures, tropical storms or hurricanes, riots or civil commotions or disturbances and any other acts of similar nature, sabotage, arrests, strikes or other labour disruptions, restraints of rulers or peoples, expropriations, acts of terrorism, war, insurrection, quarantine restrictions, government health advisories or warnings or alerts of any kind or nature, government seizures, refusal or cancellation or suspension or delay of any government authority or any license, permit or authorization or any other factor unforeseen by Sandler in Calgary that impacts negatively on or hampers its ability to fulfill any of its contractual conditions. In the event that any of these conditions apply, Sandler in Calgary shall be excused, discharged or released from its performance to the extent such performance is so limited or prevented, without liability of any kind.

LIMITATION OF SANDLER IN CALGARY'S LIABILITY
Sandler in Calgary's liability for any losses, damages, liabilities, costs or expenses whatsoever arising from or relating to any acts or omissions of Sandler in Calgary or its employees, is limited to the amount you paid to Sandler in Calgary for the services with respect to which you are claiming.

INDEMNIFICATION OF SANDLER IN CALGARY
You hereby indemnify and save harmless Sandler in Calgary against any losses, damages, liabilities, costs or expenses whatsoever, which Sandler in Calgary may incur, sustain or pay arising from or relating to any negligent or intentional act or omission of you, in relation to any incident that occurred or is alleged to have occurred during or in connection with the Unique Experience.

APPLICATION
These Terms and Conditions are binding upon all members of your estate, heirs, successors and legal personal representatives.

GOVERNING LAW
Your contract with Sandler in Calgary is governed by and is to be construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein. Further, any claim or action arising out of or relating to your vacation may be filed only in the courts of Alberta and you agree to attorn to the exclusive jurisdiction of such courts.

SEVERABILITY
If any term or condition or any portion hereof is held invalid or unenforceable, the remaining portions of these Terms and Conditions will remain in full force and effect, and, if possible, the portion(s) found unenforceable will be construed in a manner consistent with the remaining portions.

ACKNOWLEDGEMENT
By making a reservation to purchase the Unique Experience, from Sandler Training you hereby acknowledge that you have read and accept the Terms and Conditions contained herein.
